Venture capital lawyer (equity investment transactions, Delaware)

Support for equity venture capital transactions in a Delaware holding entity.

Responsibilities:

• Assisting with the investment of the venture capital transaction. Series A round
• Maintaining the Cap table, SPA, TS, etc. under various terms.
• Handling corporate issues related to the Delaware company.

Requirements:

• Experience with US venture capital structuring, particularly in Delaware.
• Fluent English (C1-C2 proficiency).

Conditions:

• Remote, project-based employment.
• Compensation to be discussed individually.
• Work under a contract with prepayment if the project is contracted.
